Common mistakes to avoid

  • 1Forgetting that a C corporation must file Form 1120 every year regardless of whether it had any taxable income or revenue — even dormant or pre-revenue Delaware C-corps must file an annual return.
  • 2Failing to attach Form 5472 to Form 1120 when a domestic corporation has at least one 25% foreign shareholder and reportable transactions — triggering an automatic $25,000 penalty under IRC Section 6038A.
  • 3Deducting 100% of business meals or federal income tax paid on the return instead of reconciling non-deductible expenses on Schedule M-1 Lines 5a–5c.
  • 4Having someone other than a corporate officer (president, vice president, treasurer, assistant treasurer, or chief accounting officer) sign the declaration on Page 1.

Frequently asked questions

For a C corporation on a calendar tax year ending December 31, Form 1120 is due on April 15 of the following year (the 15th day of the 4th month after the end of the tax year). Filing Form 7004 by April 15 provides an automatic 6-month extension until October 15 to file the return (though any tax owed must still be paid by April 15).
Form 1120 is filed by regular C corporations, which pay federal corporate income tax at the entity level (currently a flat 21% rate). Form 1120-S is filed by corporations and LLCs that have an approved S corporation election on Form 2553; S corporations generally pass income, losses, deductions, and credits through to their shareholders on Schedule K-1 rather than paying federal income tax at the corporate level.
If the corporation's total receipts for the tax year AND its total assets at the end of the tax year are both less than $250,000, it may check "Yes" on Schedule K, Question 13 (Page 5) and is not required to complete Schedules L, M-1, and M-2 on Page 6.
Corporations do not mail checks with paper tax deposits; federal corporate income tax and quarterly estimated tax installments (due the 15th day of the 4th, 6th, 9th, and 12th months of the tax year) must be deposited electronically using the Electronic Federal Tax Payment System (EFTPS) or IRS Direct Pay for Businesses.
