What is Form 1065?

Form 1065 is the 5-page annual information return that every domestic partnership — including any multi-member LLC that has not elected corporate tax treatment on Form 8832 or Form 2553 — files with the IRS to report its ordinary business income or loss, deductions, credits, and balance sheets. While a partnership generally does not pay federal income tax at the entity level, all 5 pages of Form 1065 (Page 1 income and deductions, Pages 2–3 Schedule B technical partnership questions, Page 4 Schedule K distributive share summary, and Page 5 Schedules L, M-1, and M-2 balance sheet and capital reconciliations) must be completed accurately so each partner receives a matching Schedule K-1 (Form 1065). Calendar-year partnerships file by March 15 (or September 15 with Form 7004). JustFill opens the official 5-page IRS Form 1065 PDF in your browser so partners, controllers, and CPA firms can complete and review every line online.

Field-by-field breakdown

What each section of Form 1065 asks for. JustFill’s AI will detect these fields automatically when you upload the PDF — review the breakdown below so you know what to enter.

Heading & Items A–K (Page 1, Top)

Partnership legal name, address, Employer Identification Number (EIN), principal business activity and product/service, business code number, date business started, total assets, accounting method (cash, accrual, or other), and number of Schedules K-1 attached.

Income — Lines 1a through 8 (Page 1)

Gross receipts or sales less returns and allowances, cost of goods sold (from Form 1125-A), gross profit, ordinary income from other partnerships, net farm profit, net gain or loss from Form 4797, and other income to arrive at Total Income (Line 8).

Deductions — Lines 9 through 23 (Page 1)

Salaries and wages (other than to partners), guaranteed payments to partners (Line 10), repairs and maintenance, bad debts, rent, taxes and licenses, interest (subject to Form 8990), depreciation (from Form 4562), retirement plans, employee benefit programs, energy efficient commercial buildings deduction, and other deductions leading to Ordinary Business Income or Loss on Line 23.

Schedule B — Other Information (Pages 2–3, Questions 1–30)

Thirty compliance questions covering entity type, 50%-or-more partners, foreign partners, Section 754 elections, BBA centralized partnership audit regime opt-out under Section 6221(b), Partnership Representative designation, and whether the partnership meets the Question 4 small-partnership exemption from Schedules L, M-1, and M-2.

Schedule K — Partners' Distributive Share Items (Page 4, Lines 1–21)

Total partnership pass-through amounts for ordinary business income, net rental real estate income (from Form 8825), guaranteed payments, interest, dividends, royalties, net short- and long-term capital gains, Section 179 deduction, charitable contributions, foreign taxes, and Self-Employment earnings.

Analysis of Net Income & Schedules L, M-1, and M-2 (Page 5)

Allocation of net income by general vs. limited partner type, Schedule L beginning and ending balance sheets per books, Schedule M-1 reconciliation of book income with return income (for partnerships not filing Schedule M-3), and Schedule M-2 analysis of partners' capital accounts reported on the tax-basis method.

Common mistakes to avoid

  • 1Deducting partner draws or health insurance premiums paid for partners as regular employee wages on Line 9 or employee benefits on Line 19 instead of reporting them as guaranteed payments on Line 10 and Schedule K Line 4.
  • 2Missing the March 15 filing deadline (for calendar-year partnerships) without filing Form 7004 — the IRS assesses an automatic IRC § 6698 late-filing penalty multiplied by the number of partners for up to 12 months.
  • 3Leaving the Partnership Representative designation at the bottom of Schedule B (Page 3) blank when the partnership has not affirmatively elected out of the centralized partnership audit regime on Schedule B Question 25.
  • 4Completing Schedule M-2 on a GAAP or book basis instead of the mandatory tax-basis capital account method required by IRS Form 1065 instructions.

Frequently asked questions

For a calendar-year partnership or multi-member LLC, Form 1065 and all partner Schedules K-1 are due on March 15 (or the next business day if March 15 falls on a weekend or holiday). Filing Form 7004 on or before March 15 grants an automatic 6-month extension to September 15.
If the partnership answers "Yes" to all four parts of Schedule B, Question 4 — total receipts for the tax year were less than $250,000, total assets at the end of the tax year were less than $1 million, Schedules K-1 are filed with the return and furnished to the partners on or before the due date (including extensions), and the partnership is not filing or required to file Schedule M-3 — it is not required to complete Schedules L, M-1, or M-2.
No. By default, a single-member LLC is treated as a disregarded entity and reports its business income and expenses on Schedule C (Form 1040) of the owner's individual return, unless it elects corporate taxation on Form 8832 or Form 2553. Once an LLC has two or more members, its default classification is a partnership and it files Form 1065.
Under IRC Section 6698, the IRS charges a monthly late-filing penalty for each month or part of a month (up to 12 months) the Form 1065 is late, multiplied by the total number of persons who were partners in the partnership during any part of the tax year. First-time penalty abatement or reasonable-cause abatement can be requested using Form 843.
