Terms of Service

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and JustFill ("JustFill", "we", "us", "our"), the operator of the JustFill.app website and all associated services. Please read these Terms carefully before accessing or using our Service.

1. Acceptance of Terms

Your electronic acceptance of these Terms (including by clicking "I Agree", creating an Account, or using the Service) constitutes a legally binding acceptance.

By accessing, browsing, or using the Service in any manner, including but not limited to creating an account, uploading documents, or subscribing to a paid plan, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to all of these Terms, you must immediately cease using the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes, subject to the requirements for material changes set forth in Section 21.2.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such case, "you" and "your" refer to that organization.

By creating an Account, you consent to receive communications from JustFill electronically. This consent applies to transactional and service-related communications only (such as account verification, password reset, billing notifications, and service announcements). Marketing or promotional communications, if introduced, will require your separate opt-in consent. You agree that electronic communications satisfy legal requirements for written communication to the maximum extent permitted by applicable law.

2. Eligibility

To use the Service, you must:

  • Be at least 16 years of age (or the minimum age required by applicable law in your jurisdiction) to create an account and use the free tier of the Service, in compliance with the EU General Data Protection Regulation (GDPR) and Directive 2011/83/EU.
  • Be at least 18 years of age (or the age of legal majority in your jurisdiction) to subscribe to any paid plan or enter into a financial transaction with JustFill.
  • Have the legal capacity and authority to enter into a binding agreement under applicable law.
  • Not be a person barred from receiving services under the laws of Poland, the European Union, or any other applicable jurisdiction.

By using the Service, you represent and warrant that you meet all of the foregoing eligibility requirements. If we discover or have reason to believe that you do not meet these requirements, we reserve the right to suspend or terminate your account without notice or liability.

3. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

  • "Service" means the JustFill.app website, web application, APIs, and all related tools, features, and functionalities provided by JustFill, including the AI-powered PDF form analysis and filling capabilities.
  • "User" means any individual or entity that accesses or uses the Service, whether through a free or paid account.
  • "User Content" means any documents, files, data, text, images, or other materials that you upload to, submit through, or generate using the Service.
  • "AI Output" means any content, data, text placement, field detection results, or other output generated by the Service's artificial intelligence systems in response to your inputs.
  • "Account" means your registered user account on the Service.
  • "Subscription" means any paid plan or tier that provides access to premium features of the Service.
  • "Calibration" means saved field layouts and configurations that can be reused across documents with the same structure.
  • "Credit" means a unit of usage entitlement that is consumed when you use certain Service features (such as AI-powered document analysis). Credit allocations vary by Subscription tier and are detailed on the pricing page.
  • "Credits" means the aggregate Credit allocation assigned to your account under your current Subscription tier.
  • "Consumer" means a natural person acting for purposes outside their trade, business, craft, or profession, as defined by Article 22¹ of the Polish Civil Code and Article 2(1) of Directive 2011/83/EU.

In addition, under Article 385⁵ of the Polish Civil Code, certain consumer protections (including provisions on unfair contract terms under Articles 385¹-385³, warranty under Articles 556⁴-556⁵, and claims under Article 576⁵) also apply to natural persons entering into contracts directly related to their business activity, where such contracts do not have a professional character for that person. References to "Consumer" in these Terms include such persons to the extent required by applicable law.

4. Description of Service

JustFill.app provides an AI-powered tool for analyzing, detecting form fields in, and filling PDF documents. The Service allows Users to upload PDF files, provide text data, and use artificial intelligence to automatically detect and populate form fields within those documents.

The core features of the Service include, but are not limited to:

  • PDF document upload and rendering
  • AI-powered form field detection and analysis using Google Gemini AI
  • Automatic population of detected fields with user-provided data
  • Interactive preview and manual editing of detected fields
  • Generation and download of filled PDF documents
  • Saving and reusing field calibrations across similar documents

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We reserve the right to modify, suspend, or discontinue any part of the Service. For material changes that affect core functionality, we will provide reasonable notice, meaning at least thirty (30) days' prior notice via email and in-app notification. If a material change adversely affects your use of the Service, you may terminate your subscription within 30 days of the notice and receive a pro-rata refund for any prepaid, unused period. If a modification materially degrades the Service, you may terminate your subscription and receive a pro-rata refund for any prepaid unused period, in addition to any rights you have under Directive (EU) 2019/770.

Subject to Section 21 (Modification of Terms), JustFill reserves the right, at its reasonable discretion, to impose or modify limits on certain features or restrict access to parts or all of the Service with reasonable notice. This includes, without limitation, adjusting the number of Credits available, changing processing limits, or modifying the functionality of any tier. Any such modifications that constitute material changes are subject to the notice and consent requirements of Section 21. Any reduction in Credit allocations constitutes a material change governed by Section 21.2 and requires your affirmative consent.

Unless separately agreed in writing, no subscription tier (including paid plans) includes any service level agreement (SLA), uptime guarantee, or performance commitment. JustFill will use commercially reasonable efforts to maintain availability but does not guarantee any specific level of uptime or performance. The notice and refund provisions in this section are provided as a good faith measure and do not constitute a service level agreement or guarantee of service continuity or quality.

4A. Complaint Handling Procedure

If you have a complaint about the Service, you may lodge it by emailing hello@justfill.app with a description of your complaint and any supporting information. JustFill will acknowledge receipt of your complaint within five (5) business days and will endeavour to provide a substantive response within fourteen (14) business days. If the matter cannot be resolved within that timeframe, JustFill will inform you of the expected resolution date. Available remedies may include (as appropriate): service credits, pro-rata refund, correction of the issue, or any other remedy required by applicable law. If you are not satisfied with the outcome, you may pursue dispute resolution under Section 23 or exercise any rights available under applicable consumer protection law.

4B. System Requirements

To use the Service, you need the following minimum technical requirements:

  • Supported browsers: The current version and one prior major version of Google Chrome, Mozilla Firefox, Microsoft Edge, or Apple Safari.
  • Internet connection: A stable broadband internet connection with a minimum speed of 2 Mbps (download).
  • JavaScript: JavaScript must be enabled in your browser.
  • PDF files: Documents must be in PDF format. Maximum file size limits are displayed within the Service and may vary by subscription tier.

The Service is a web-based application and does not require installation of additional software. JustFill may update system requirements from time to time and will provide reasonable notice of any changes that materially affect access.

4C. Interoperability and Compatibility

The Service is designed to work with PDF documents conforming to the PDF specification (ISO 32000). The Service outputs filled PDF documents that are compatible with standard PDF readers (e.g., Adobe Acrobat Reader, browser-based PDF viewers). The Service integrates with the hardware and software environments described in Section 4B above. The Service does not require any special hardware beyond a device capable of running a supported web browser. Calibrations and AI Output are designed for use within the Service and may not be directly interoperable with third-party form-filling tools.

5. Account Registration and Security

5.1 Account Creation

To access certain features of the Service, you must create an Account by providing accurate, current, and complete information during the registration process. You agree to update your information promptly to keep it accurate, current, and complete.

5.2 Account Security

  • You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password.
  • You are fully responsible for all activities that occur under your Account, whether or not you have authorized such activities.
  • You must immediately notify JustFill at hello@justfill.app upon becoming aware of any unauthorized use of your Account or any other breach of security.
  • JustFill shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

5.3 Account Restrictions

  • Each individual may maintain only one Account unless expressly authorized by JustFill.
  • You may not share your Account credentials with any third party or allow any third party to access the Service through your Account.
  • Accounts registered by automated methods (bots, scripts, or other automated means) are prohibited and will be terminated immediately.

6. User Content and License Grant

6.1 Ownership

You retain all ownership rights in and to your User Content. JustFill does not claim any ownership interest in your User Content, including but not limited to the PDF documents you upload and the data you provide for form filling.

6.2 License Grant to JustFill

By uploading or submitting User Content to the Service, you grant JustFill a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your User Content solely for the purpose of providing, operating, maintaining, and supporting the Service (including debugging, error correction, performance monitoring, and service reliability). This license includes the right to:

  • Process your documents through AI systems for field detection and form filling
  • Temporarily store your documents on our servers during processing
  • Generate and deliver filled PDF output based on your content
  • Create and store Calibrations associated with your documents

This license does not include the right to use your User Content for AI model training, machine learning, or any purpose beyond providing the Service to you. Processing of personal data within User Content is governed exclusively by our Privacy Policy and Data Processing Agreement.

This license terminates when you delete your User Content from the Service or when your Account is terminated, subject to any reasonable backup or archival retention periods.

6.3 AI Output and Calibration Ownership

You retain ownership of your User Content, the filled PDF documents you generate, and the Calibrations you create and save (including the field coordinates, field names, field configurations, and associated metadata stored within your Calibrations). JustFill's intellectual property rights are limited to the underlying algorithms, AI models, processing methods, software, and Service infrastructure used to generate AI Output -- not the output data itself as applied to your documents. You receive a non-exclusive, perpetual, royalty-free license to use AI Output for any lawful purpose, including use outside the Service. JustFill retains the right to use anonymized and aggregated calibration metadata (which does not identify you or your documents) for service improvement purposes.

6.4 User Representations

By uploading or submitting User Content, you represent and warrant that:

  • You own or have all necessary rights, licenses, consents, and permissions to submit the User Content and to grant the license described above.
  • Your User Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or any other rights of any third party.
  • Your User Content does not contain any material that is unlawful, defamatory, obscene, fraudulent, or otherwise objectionable.
  • You have obtained all necessary consents from any individuals whose personal data is contained within your User Content, in compliance with applicable data protection laws including the GDPR.
  • You have the legal authority to process the documents you upload, and you are not using the Service to process documents belonging to third parties without proper authorization.

7. AI Disclaimer and Limitations

CRITICAL AI DISCLAIMER -- READ CAREFULLY

The Service uses artificial intelligence (Google Gemini AI) to analyze documents and fill form fields. AI technology is inherently imperfect, probabilistic, and subject to errors. You must understand and accept the following before using the Service:

  • AI may produce errors, inaccuracies, and "hallucinations." The AI may misinterpret document structure, misread text, place data in incorrect fields, generate incorrect or fabricated content, omit fields entirely, or produce output that appears plausible but is factually incorrect.
  • YOU ARE SOLELY AND ENTIRELY RESPONSIBLE for reviewing, verifying, and validating ALL AI Output before using, signing, submitting, filing, or relying upon any document processed through the Service. Failure to verify AI Output is entirely at your own risk.
  • The Service does NOT provide professional advice of any kind. JustFill is a technical document processing tool. It is NOT a substitute for professional legal, tax, medical, financial, accounting, regulatory, or any other professional advice or services. You should consult qualified professionals for any matters requiring professional judgment.
  • JustFill makes no representation or warranty regarding the accuracy, completeness, reliability, suitability, or correctness of any AI Output. Any reliance you place on AI Output is strictly at your own risk.

Without limiting the generality of the foregoing, JustFill expressly disclaims any and all liability for:

  • Incorrect, incomplete, or misplaced data in filled documents, including but not limited to errors in names, numbers, dates, addresses, identification numbers, financial figures, or any other data fields
  • Documents that are rejected, returned, or invalidated by any authority, institution, or third party due to errors in AI-generated output
  • Missed deadlines, penalties, fines, or other consequences resulting from reliance on AI-processed documents without independent verification
  • Any financial loss, legal liability, regulatory action, or other adverse consequence arising from the use of documents processed through the Service
  • Failure to detect or correctly identify form fields, checkboxes, tables, or other document elements
  • Variations in AI Output quality across different document types, languages, layouts, or complexity levels
  • Any consequences arising from submitting AI-processed documents to government agencies, courts, tax authorities, immigration offices, insurance companies, healthcare providers, financial institutions, or any other authority or third party, including but not limited to rejection, penalties, fines, legal action, or denial of benefits

In accordance with the EU AI Act (Regulation (EU) 2024/1689), we inform you that document analysis is performed by Google Gemini AI. The AI system is classified as limited risk, based on our assessment of the Service's primary use case, and is subject to transparency obligations. The risk classification may differ depending on how you use the Service. If you use the Service in contexts that may constitute high-risk AI use cases under Annex III of the EU AI Act (e.g., employment, education, essential services), additional obligations may apply to you as the deployer.

By using the Service, you expressly acknowledge that you have read and understood this AI Disclaimer, and you accept full responsibility for verifying all AI Output.

JustFill shall have no liability to any third party in connection with documents processed through the Service. Users are solely responsible for reviewing all AI-generated output before submitting it to any third party, government agency, or regulatory body.

7A. AI Output in Regulated Contexts

WARNING: AI OUTPUT MUST NOT BE RELIED UPON FOR REGULATED PURPOSES

AI-generated output from the Service is not suitable for direct use in tax filings, medical forms, legal submissions, immigration applications, financial regulatory filings, insurance claims, or any other context where errors could have legal, financial, medical, or regulatory consequences ("Regulated Contexts") without independent verification by a qualified professional (such as a licensed attorney, certified accountant, registered tax adviser, or licensed medical professional, as applicable).

JustFill is a document processing tool, not a provider of professional advice. You must not treat AI Output as a substitute for professional judgment in any Regulated Context.

To the maximum extent permitted by applicable law, JustFill expressly excludes all liability for any indirect, incidental, special, consequential, or punitive damages arising from the use of AI Output in Regulated Contexts, including but not limited to penalties, fines, rejected filings, denied applications, incorrect tax assessments, or adverse legal or medical outcomes. This exclusion does not affect mandatory consumer rights under Directive (EU) 2019/770 or other applicable mandatory law.

Assumption of Risk

YOU ACKNOWLEDGE THAT AI-GENERATED OUTPUT MAY CONTAIN ERRORS AND YOU ACCEPT RESPONSIBILITY FOR REVIEWING AND VERIFYING ALL AI OUTPUT BEFORE RELIANCE. YOU ASSUME FULL RESPONSIBILITY AND ALL RISKS ARISING FROM OR IN CONNECTION WITH: (A) ANY AI OUTPUT GENERATED THROUGH THE SERVICE; (B) ANY DOCUMENTS PROCESSED, FILLED, OR GENERATED USING THE SERVICE; (C) YOUR RELIANCE ON ANY CONTENT OR OUTPUT PROVIDED BY THE SERVICE; AND (D) ANY SUBMISSION OF AI-PROCESSED DOCUMENTS TO THIRD PARTIES, INCLUDING GOVERNMENT AGENCIES, FINANCIAL INSTITUTIONS, HEALTHCARE PROVIDERS, OR ANY OTHER ENTITY.

This assumption of risk applies to the extent your use of AI Output and document submissions are within your control. It does not limit your statutory rights regarding defects or non-conformity of the Service itself.

This section does not limit any rights you have under mandatory consumer protection law, including the right to conformity of digital content under Directive (EU) 2019/770.

8. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You shall not, and shall not permit any third party to:

8.1 Prohibited Content

  • Upload, transmit, or process any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, fraudulent, invasive of privacy, or otherwise objectionable
  • Process documents containing classified, top-secret, or restricted government information without proper authorization and security clearance
  • Upload content that promotes or facilitates illegal activities, including but not limited to fraud, forgery, identity theft, money laundering, or tax evasion
  • Process documents containing sensitive personal data (e.g., medical records, biometric data, criminal records) without a valid legal basis and appropriate safeguards under applicable data protection law
  • Upload or process documents that are subject to industry-specific regulatory requirements (including but not limited to HIPAA-protected health information, data subject to PCI-DSS, data regulated under financial services regulations such as SOX or GLBA, or data protected under any similar regulatory framework) without ensuring your own independent compliance with all applicable requirements. JustFill is not a "covered entity," "business associate," or equivalent regulated party under any healthcare, financial, or industry-specific regulation, and you assume all liability and responsibility for the lawful processing of such data through the Service.

8.2 Prohibited Activities

  • Use the Service for any form of document forgery, fraud, or misrepresentation
  • Scrape, crawl, spider, or use any automated means to access the Service or extract data from the Service, except as expressly permitted through our published APIs. Any APIs provided by JustFill may be modified, rate-limited, deprecated, or discontinued at any time with reasonable notice. JustFill provides no guarantee of backward compatibility for any API
  • Use the Service through automated scripts, bots, or other non-human means, except as expressly authorized by JustFill in writing
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or architecture of the Service or any part thereof
  • Copy, modify, create derivative works from, distribute, sell, resell, sublicense, lease, or otherwise transfer or exploit the Service or any component thereof
  • Use the Service to build a competitive product or service, or to perform competitive analysis or benchmarking
  • Resell, redistribute, or provide access to the Service to third parties, or use the Service to operate a service bureau or similar business
  • Circumvent, disable, or otherwise interfere with any security, rate-limiting, access control, or usage-limiting features of the Service
  • Intentionally or negligently overload, disrupt, or impair the Service or its underlying infrastructure, including through denial-of-service attacks or resource exhaustion
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Use the Service to send unsolicited communications, spam, or bulk messages
  • Interfere with or disrupt other Users' use and enjoyment of the Service
  • Attempt to gain unauthorized access to any part of the Service, other Users' accounts, or any systems or networks connected to the Service
  • Use the Service in any way that violates any applicable local, state, national, or international law or regulation

8.3 Fair Use Policy

Plans described as "unlimited" are subject to a fair use policy. Fair use means normal, individual use of the Service consistent with the intended purpose of the applicable plan. The following activities are not considered fair use and may result in account suspension or termination:

  • Using a personal account to provide services to, or act as a processing intermediary for, third-party businesses or enterprises
  • Consumption patterns that significantly exceed the average usage of similar-tier Users (as determined by JustFill in its reasonable discretion)
  • Using automated processes to maximize credit consumption or circumvent usage limits
  • Sharing account credentials to allow multiple individuals to use a single account

Usage that significantly exceeds the plan's stated credit allocation, including, without limitation, consumption that exceeds five (5) times the stated Credit allocation, may be considered excessive. For plans described as "unlimited," the fair use threshold is based on consumption patterns that significantly exceed the median usage of similar-tier users over a rolling 30-day period. JustFill reserves the right to determine in its reasonable discretion what constitutes excessive usage.

Before suspending your account for excessive usage, we will provide at least fourteen (14) days' written notice and an opportunity to reduce usage or upgrade your plan. You may contest any fair use determination by contacting hello@justfill.app.

9. Subscriptions, Billing, and Payments

9.1 Subscription Plans

The Service offers multiple subscription tiers (free, premium, and business) with varying features, Credit allocations, and pricing. The current features and pricing of each tier are displayed on our pricing page and may be updated from time to time.

9.2 Billing Cycles

Paid Subscriptions are billed in advance on a recurring basis (monthly or annual, depending on the billing cycle selected at purchase). Your Subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.

9.3 Automatic Renewal

By subscribing to a paid plan, you authorize JustFill to charge your payment method on a recurring basis at the then-current subscription rate, plus applicable taxes, at the start of each billing cycle. Your subscription will renew at the then-current rate for your plan (as listed on our pricing page). JustFill may, at its sole discretion, send courtesy renewal reminder emails before automatic renewals. These reminders are entirely optional and provided without obligation. The validity of automatic renewal is not contingent upon receipt of any reminder communication, and JustFill assumes no liability for failure to send such reminders. Non-receipt of a reminder due to technical issues, email filtering, or other factors does not affect the validity of the automatic renewal or your obligation to pay. JustFill's obligation regarding renewal disclosure is fulfilled by the information provided at the time of initial subscription and in your account dashboard.

You may cancel auto-renewal at any time through your account settings or the Stripe Billing Portal. To cancel before renewal, navigate to Account Settings > Billing > Cancel Subscription at least 48 hours before the renewal date. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that date. Cancellation requests received less than 48 hours before the renewal date will be processed as promptly as technically feasible. If renewal charges are processed before the cancellation takes effect, JustFill will issue a full refund for the new period provided the request was submitted before the renewal date.

9.4 Price Changes

JustFill reserves the right to modify subscription pricing at any time, subject to Section 21.2 (Acceptance of Changes). For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' prior written notice sent to the email address associated with your Account. Any price increase requires your affirmative consent (opt-in) in accordance with Section 21.2 before taking effect. For non-price changes to your Subscription (such as feature adjustments or Credit allocation modifications), your continued use of the Service after the effective date of the change constitutes your acceptance of the new terms. If you do not agree with the new pricing, you must cancel your Subscription before the price change takes effect.

9.5 Upgrades and Downgrades

9.6 Taxes

Prices displayed on the Service include applicable VAT for consumers within the European Union, based on your billing address or detected location. For business customers who provide a valid VAT identification number, prices may be displayed exclusive of VAT. Where VAT-inclusive pricing cannot be determined, prices are shown exclusive of taxes with a clear indication that VAT will be calculated and added at checkout. You are responsible for any taxes that may apply to your use of the Service, including but not limited to sales tax, use tax, and VAT, in accordance with applicable tax regulations.

9.7 Failed Payments

If a payment fails for any reason, JustFill may: (a) retry the charge up to three times over a period of up to 14 days; (b) downgrade your account to the free tier; (c) restrict access to paid features; or (d) suspend your account. We will make reasonable efforts to notify you of a failed payment via the email address on your Account. You remain liable for any uncollected amounts.

9.8 Billing Disputes

You have the right to dispute any charge you believe to be incorrect. To exercise this right, please notify us at hello@justfill.app within sixty (60) days of the date of the charge. This 60-day period is provided for your convenience and does not limit any longer dispute period available to you under applicable law or your payment provider's policies. We encourage you to contact us before initiating a chargeback or payment dispute with your bank or payment provider, so that we may attempt to resolve the matter directly.

A chargeback is considered "fraudulent or abusive" only where: (a) the user received and used the Service for the period charged; (b) no service defect, billing error, or legitimate complaint exists; and (c) the chargeback was initiated with knowledge that the charge was valid, or with reckless disregard as to its validity. JustFill will not characterise a chargeback as abusive where the consumer has a legitimate complaint, including (without limitation) service outages, billing errors, charges after cancellation, or failure to receive the Service. Chargebacks determined to be fraudulent or abusive under the foregoing criteria may result in suspension or termination of your Account. JustFill reserves the right to suspend your Account during the investigation of any billing dispute. Account suspension during billing disputes will only be applied where: (a) there is reasonable suspicion of fraudulent activity, (b) the disputed amount exceeds three (3) months' subscription fees, or (c) the user has a documented pattern of repeated bad-faith disputes. For consumers with a single legitimate billing complaint, service access will be maintained during the investigation. All billing disputes are subject to verification by JustFill and the applicable payment processor. Nothing in this section limits your rights under the EU Payment Services Directive (PSD2) or applicable national law.

9.9 Payment Processing

All payment processing is handled by Stripe, Inc. ("Stripe"), a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's Terms of Service and Privacy Policy. JustFill does not store your full payment card details on its servers. Your agreement to Stripe's Terms of Service is evidenced by your completion of the Stripe-hosted checkout process, which incorporates Stripe's own terms.

9.10 Free Trials

JustFill may, from time to time, offer free trial periods for paid subscription plans. If a free trial is offered:

  • The trial length will be specified at the time of signup.
  • Pre-authorisation and automatic charge: By starting a free trial, you authorise JustFill (via Stripe) to charge your payment method automatically at the end of the trial period. The exact price that will be charged, the billing frequency, and the date on which the first charge will occur are displayed clearly on the checkout page before you confirm. In accordance with Article 8(2) of Directive 2011/83/EU, the checkout button is labelled to indicate that confirming the trial creates a payment obligation at the end of the trial period.
  • At the end of the trial period, your subscription will automatically convert to the paid plan at the price displayed at the time of trial signup, unless you cancel before the trial period ends.
  • You may cancel at any time before the trial period ends to avoid being charged. Cancellation instructions are available in your account settings. JustFill will send a reminder email at least 3 days before the trial period ends.
  • Free trials are limited to one per User. JustFill reserves the right to revoke a trial if it determines that the User has previously used a trial.

10. Free Tier

JustFill may offer a free tier of the Service with limited features and Credit allocations. The free tier is provided at JustFill's sole discretion, and:

  • Notice before discontinuation: JustFill will provide at least fourteen (14) days' prior notice via email before modifying, limiting, or discontinuing the free tier. During this notice period, you may export your data using the data export feature in your account settings.
  • Feature limitations: The free tier may have reduced functionality, lower Credit allocations, processing limits, or other restrictions compared to paid plans.
  • No service level agreement: The free tier is provided without any uptime guarantees, performance commitments, or support obligations.
  • Conversion: JustFill reserves the right to require free-tier Users to convert to a paid plan to continue accessing the Service, with at least fourteen (14) days' advance notice by email.

Credits are non-transferable, have no monetary value, and expire at the end of each billing period. Unused Credits do not roll over to subsequent billing periods unless expressly stated otherwise for your specific plan. You will receive a notification when your Credit usage reaches 80% of your allocation for the billing period.

11. EU Right of Withdrawal

11.1 General Right

If you are a consumer in the European Union or the European Economic Area, you have the right to withdraw from this contract within 14 days without giving any reason, in accordance with Directive 2011/83/EU on consumer rights.

The withdrawal period expires 14 days after the day of the conclusion of the contract (i.e., the day you subscribed to a paid plan). To exercise your right of withdrawal, you must inform us of your decision to withdraw by an unequivocal statement sent to:

You may use the model withdrawal form provided in Annex I(B) of Directive 2011/83/EU, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

11.1A Withdrawal Right on Auto-Renewal

For automatic renewals, you may exercise the right of withdrawal within 14 days from the date of renewal. If you have already used the Service during the new billing period, the proportional value of the service used may be deducted from the refund in accordance with Article 14(3) of Directive 2011/83/EU. The renewal reminders described in Section 9.3, where sent, serve as the pre-contractual information required before commencement of a new subscription period.

11.2 Effects of Withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, without undue delay and in any event no later than 14 days from the day on which we are informed of your decision to withdraw. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise. In any event, you will not incur any fees as a result of such reimbursement.

11.3 Exception for Digital Services

In accordance with Article 16(m) of Directive 2011/83/EU, the right of withdrawal does not apply where all three of the following conditions are cumulatively satisfied:

  • Condition (a) -- Prior express consent: You have given your prior express consent to the commencement of the digital service before the expiry of the 14-day withdrawal period. This consent is collected through a clear mechanism during the checkout process (such as a checkbox or confirmation step, distinct from acceptance of these Terms of Service) that communicates: "I expressly consent to the immediate provision of the digital service and acknowledge that I will lose my right of withdrawal once the service begins."
  • Condition (b) -- Acknowledgment of loss of right: You have acknowledged that you will lose your right of withdrawal once the digital service has commenced. This acknowledgment is part of the same consent mechanism described in Condition (a).
  • Condition (c) -- Confirmation on durable medium: We have provided you with a confirmation of your consent and acknowledgment on a durable medium. JustFill sends a confirmation email immediately after your purchase, which includes: a record of your express consent, your acknowledgment of the loss of the right of withdrawal, and the details of your subscription.

All three conditions must be cumulatively satisfied before the withdrawal right is waived. If any condition is not met, the 14-day right of withdrawal applies in full.

For subscription-based digital services, each billing period constitutes a separate supply of the digital service. By expressly consenting to the immediate commencement of the service at the time of subscription, you acknowledge that the right of withdrawal is waived once the service provision has begun for each billing period, subject to the pro-rata deduction provisions of Article 14(3) of Directive 2011/83/EU.

If you have expressly consented and used the Service during the withdrawal period but subsequently exercise your right of withdrawal (where applicable), JustFill may deduct from the reimbursement an amount proportionate to what has been provided until you communicated your withdrawal, in comparison with the full coverage of the contract.

11.4 Model Withdrawal Form

You may use the following model withdrawal form (Annex I(B) of Directive 2011/83/EU), but it is not obligatory:

11A. Digital Content Conformity (EU/EEA Consumers)

If you are a consumer in the European Union or the European Economic Area, you have rights under Directive (EU) 2019/770 on digital content and digital services. This section summarises those rights; it does not limit them.

11A.1 Conformity Requirements

JustFill shall supply the Service in conformity with these Terms. The Service must:

  • Conform to the description, quantity, and quality set out in these Terms and any pre-contractual information provided to you;
  • Be fit for the purposes for which digital content or digital services of the same type would normally be used, taking into account applicable law, technical standards, and applicable codes of conduct;
  • Be supplied with all accessories, instructions, and customer assistance as a consumer may reasonably expect; and
  • Be updated as stipulated by these Terms, including updates necessary to keep the Service in conformity.

11A.2 Remedies for Lack of Conformity

In accordance with Directive (EU) 2019/770, the primary remedy for lack of conformity is to bring the Service into conformity. Only if bringing the Service into conformity is impossible or would impose disproportionate costs may you seek a proportionate price reduction or terminate the contract.

If the Service does not conform to the requirements above, you are entitled to the following remedies, in the following order:

  • Bring into conformity: You may require JustFill to bring the Service into conformity free of charge, within a reasonable time, and without significant inconvenience to you.
  • Price reduction: If bringing the Service into conformity is impossible, disproportionate, not completed within a reasonable time, or would cause significant inconvenience, you are entitled to a proportionate reduction in price.
  • Termination of contract: You may terminate the contract if the lack of conformity is not minor. Upon termination, JustFill shall reimburse you all sums paid under the contract for the period during which the Service was not in conformity.

11A.3 Liability Period and Burden of Proof

JustFill is liable for any lack of conformity that exists at the time the Service is supplied and that becomes apparent within two (2) years of the initial supply of the Service (or, for continuous supply, throughout the period of supply). For any lack of conformity that becomes apparent within one (1) year of supply, the lack of conformity is presumed to have existed at the time of supply unless JustFill proves otherwise (reversed burden of proof).

11A.4 Relationship to Other Remedies

The rights set out in this section are in addition to, and do not replace or limit, any other remedies available to you under these Terms, applicable national law, or EU law (including the right of withdrawal under Section 11, the refund policy under Section 12, and any other mandatory consumer rights).

12. Refund Policy

Subject to your mandatory statutory rights (including the EU right of withdrawal described in Section 11), the following refund policy applies:

  • General policy: All Subscription fees are non-refundable unless otherwise required by applicable law. Refund requests outside of statutory rights are handled on a case-by-case basis at JustFill's reasonable discretion. This discretion does not override your statutory conformity rights under Section 11A or the complaint procedure timelines set out in Section 4A.
  • Downgrades and cancellations: No refunds or credits are provided for partial billing periods upon downgrade or cancellation. You will continue to have access to paid features until the end of the current billing period.
  • Service issues: If you experience a significant service outage or technical issue that materially prevents you from using the Service for an extended period, you may submit a refund request to hello@justfill.app. For service outages that materially prevent use, JustFill will issue a proportionate credit or refund for the affected period in accordance with applicable law.
  • Processing: Approved refunds will be processed within 14 business days to the original payment method.
  • Credits: Unused Credits have no cash value, are non-refundable, and are not transferable between accounts or billing periods unless otherwise specified for your plan.

This section does not limit your remedies under Section 11A (Digital Content Conformity Rights), which provide legally enforceable rights to bring the Service into conformity, obtain a proportionate price reduction, or terminate the contract where the Service fails to conform.

13. Intellectual Property

13.1 JustFill's Intellectual Property

The Service, including but not limited to the website, web application, software, algorithms, AI models and prompts, user interfaces, designs, graphics, logos, trademarks, trade names, service marks, and all associated intellectual property, are and shall remain the exclusive property of JustFill and its licensors, protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your use of the Service does not grant you any right, title, or interest in or to the Service or any of JustFill's intellectual property, except for the limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

13.2 User's Intellectual Property

You retain all ownership rights in your User Content as described in Section 6. JustFill makes no claim of ownership over your uploaded documents, your data, or the filled PDF output generated through the Service based on your User Content and inputs.

13.3 Restrictions

You shall not:

  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in the Service
  • Use JustFill's name, logo, or trademarks without prior written consent
  • Register or attempt to register any trademark, domain name, or social media handle that is confusingly similar to JustFill's marks

14. Feedback and Suggestions

If you provide JustFill with any feedback, suggestions, ideas, enhancement requests, feature recommendations, or other input regarding the Service ("Feedback"), you hereby grant JustFill a non-exclusive, perpetual, worldwide, royalty-free license to use, modify, incorporate, and distribute such Feedback without any obligation, restriction, or compensation to you. This license applies solely to feedback, ideas, and suggestions specifically directed at improving the Service, and does not extend to any separate intellectual property, inventions, or creative works you may develop. This license applies regardless of whether the Feedback is provided verbally, in writing, or through any other medium.

You acknowledge and agree that: (a) your Feedback does not contain confidential or proprietary information of any third party; (b) JustFill is under no obligation of confidentiality with respect to the Feedback; (c) JustFill may already be developing or may have developed similar ideas independently; and (d) you are not entitled to any compensation or credit for the Feedback under any circumstances.

15. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to:

  • Google Gemini AI -- for document analysis, form field detection, and data processing. Your use of AI features is additionally subject to Google's terms of service and acceptable use policies.
  • Stripe, Inc. -- for payment processing and subscription management. Your payment information is processed by Stripe in accordance with Stripe's terms and privacy policy.
  • Cloud hosting providers -- for infrastructure, storage, and computing resources necessary to operate the Service.
  • Google Cloud Vision API -- for image analysis and document processing features within the Service. Your use of these features is subject to Google's terms of service and acceptable use policies.
  • Google Cloud Speech-to-Text API -- for voice and audio transcription features within the Service. Your use of these features is subject to Google's terms of service and acceptable use policies.

JustFill is not responsible for and makes no representations or warranties regarding the performance, availability, accuracy, security, or practices of any third-party service. Your use of third-party services is at your own risk and may be subject to additional terms and conditions imposed by the third-party provider.

If a third-party service (including AI services, models, or APIs) becomes unavailable, changes its terms, increases its pricing, or degrades in quality, JustFill will:

  • Notify you of any resulting material change to the Service within a reasonable time (and in any event within 30 days of JustFill becoming aware of the change);
  • Use commercially reasonable efforts to mitigate the impact on the Service, including by seeking alternative providers where feasible; and
  • If such third-party change materially degrades the core functionality of the Service and JustFill is unable to restore substantially equivalent functionality within 30 days, you may terminate your Subscription and receive a pro-rata refund for the unused prepaid period.

Subject to the foregoing, JustFill shall not be liable for any loss or damage caused by or resulting from your reliance on any third-party service.

16. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data in compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

In particular, the Service provides GDPR-compliant features including:

  • Data export: You may request a machine-readable export of all personal data associated with your Account through your account settings.
  • Account deletion: You may request permanent deletion of your Account and all associated data through your account settings. Deletion requests will be processed within 30 calendar days and are irreversible once completed.
  • Cookie preferences: The Service uses analytics and marketing cookies by default. You can opt out of non-essential cookies at any time via Cookie Settings.

Where you use the Service to process personal data of third parties in the course of professional or business activities, and JustFill therefore acts as a data processor on your behalf, the terms of our Data Processing Agreement (DPA) shall apply and are incorporated herein by reference. Business customers who require a customized Data Processing Agreement may contact us at hello@justfill.app.

JustFill may engage sub-processors and third-party service providers to assist in providing the Service. By accepting these Terms, you provide general authorization for JustFill to engage such sub-processors, subject to the conditions set forth in our Data Processing Agreement.

17. Disclaimer of Warranties

Your statutory rights as a consumer are not affected by this section.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

JUSTFILL EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE;
  • ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICE OR ANY AI OUTPUT;
  • ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • ANY WARRANTIES THAT DEFECTS IN THE SERVICE WILL BE CORRECTED;
  • ANY WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM JUSTFILL OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

NO WARRANTY IS MADE REGARDING THE SUITABILITY OF AI OUTPUT FOR SUBMISSION TO ANY GOVERNMENT AGENCY, REGULATORY BODY, OR THIRD PARTY, OR REGARDING COMPLIANCE OF AI OUTPUT WITH ANY REGULATORY STANDARD OR REQUIREMENT.

JUSTFILL DOES NOT PROVIDE ANY INDEMNIFICATION AGAINST INTELLECTUAL PROPERTY CLAIMS ARISING FROM AI-GENERATED OUTPUT OR THIRD-PARTY AI MODEL BEHAVIOR.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THESE TERMS SHALL AFFECT THE STATUTORY RIGHTS OF ANY CONSUMER UNDER MANDATORY CONSUMER PROTECTION LEGISLATION, INCLUDING DIRECTIVE (EU) 2019/770 (DIGITAL CONTENT AND DIGITAL SERVICES).

Plain-language note for EU/EEA consumers: If you are a consumer in the EU or EEA, the "as is" and "as available" disclaimers above do not take away your statutory rights to receive a service that conforms to the contract description. You continue to have the right to remedies (including repair, price reduction, or termination) if the Service does not meet the standards described in these Terms and in Section 11A (Digital Content Conformity).

18. Limitation of Liability

18.1 EXCLUSION OF CERTAIN DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUSTFILL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, BUSINESS, OR ANTICIPATED SAVINGS;
  • LOSS OF DATA OR DATA CORRUPTION, PROVIDED THAT THIS EXCLUSION SHALL NOT APPLY TO CONSUMERS IN THE EU/EEA WHERE SUCH DATA LOSS IS CAUSED BY JUSTFILL'S NEGLIGENCE OR BREACH OF ITS OBLIGATIONS UNDER DIRECTIVE (EU) 2019/770;
  • LOSS OF GOODWILL OR REPUTATION;
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT;
  • DAMAGES RESULTING FROM ERRORS, INACCURACIES, OR OMISSIONS IN AI OUTPUT;
  • ANY OTHER INTANGIBLE LOSSES;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT JUSTFILL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18.2 CAP ON LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF JUSTFILL AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND LICENSORS, FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO JUSTFILL DURING THE TWENTY-FOUR (24) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIVE HUNDRED EUROS (EUR 500.00). THIS LIMITATION DOES NOT APPLY TO: (I) CLAIMS ARISING FROM VIOLATIONS OF APPLICABLE DATA PROTECTION LAW (INCLUDING ART. 82 GDPR, PROVIDED THAT THE GDPR ART. 82 EXCEPTION APPLIES ONLY TO CLAIMS BROUGHT BY DATA SUBJECTS EXERCISING THEIR RIGHTS UNDER ART. 82 GDPR, AND DOES NOT EXTEND TO CONTRACTUAL CLAIMS BETWEEN THE PARTIES); (II) REMEDIES UNDER DIRECTIVE (EU) 2019/770 (INCLUDING CONFORMITY, PRICE REDUCTION, AND TERMINATION REMEDIES DESCRIBED IN SECTION 11A); (III) ANY OTHER MANDATORY CONSUMER RIGHTS THAT CANNOT BE LIMITED BY CONTRACT UNDER APPLICABLE LAW, INCLUDING CLAIMS ARISING UNDER DIRECTIVE 2011/83/EU AND NATIONAL IMPLEMENTING LEGISLATION.

18.3 EXCEPTIONS

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING MANDATORY EU CONSUMER PROTECTION RIGHTS; OR (D) JUSTFILL'S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE (WHERE REQUIRED BY APPLICABLE LAW).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. IF YOU ARE A CONSUMER IN THE EUROPEAN UNION, YOU MAY HAVE ADDITIONAL MANDATORY RIGHTS UNDER DIRECTIVE (EU) 2019/770 AND NATIONAL IMPLEMENTING LEGISLATION THAT CANNOT BE WAIVED OR LIMITED BY CONTRACT.

19. Indemnification

Important notice for EU/EEA consumers: If you are a consumer in the European Union or European Economic Area, the indemnification obligation in this Section 19 applies only to losses arising from your deliberate wrongdoing or gross negligence. It does not affect your mandatory statutory rights under applicable consumer protection law, including Directive 93/13/EEC on unfair contract terms. You retain a duty to cooperate with JustFill's defense and provide relevant information upon reasonable request.

For EU/EEA consumers, the indemnification obligations listed below apply only to the extent the triggering conduct constitutes deliberate wrongdoing or gross negligence.

Subject to the consumer limitation above, and to the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless JustFill, its directors, officers, employees, agents, partners, suppliers, and licensors from and against any and all claims, demands, actions, investigations, proceedings (including regulatory, administrative, and governmental investigations and proceedings), liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with:

  • Your material breach of these Terms
  • Your upload of content that infringes third-party rights
  • Your use of the Service for illegal purposes
  • Your User Content, including any claims that your User Content infringes or misappropriates any third party's intellectual property rights, privacy rights, or other rights
  • Your failure to comply with applicable data protection laws in connection with User Content containing personal data of third parties

JustFill reserves the right, at JustFill's expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without JustFill's prior written consent. JustFill will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

20. Termination

20.1 Termination by JustFill for Cause

JustFill may suspend or terminate your Account and access to the Service if you commit a material breach of these Terms.

For non-critical breaches, JustFill will provide fourteen (14) days' written notice and an opportunity to cure the breach before termination. Immediate termination without notice is permitted only for material violations that pose an immediate threat, specifically:

  • Fraud or illegal activity
  • Security threats to the Service or other Users
  • Material violations of Section 8 (Acceptable Use Policy), including prohibited content (Section 8.1) involving illegal, fraudulent, or harmful material, and prohibited activities (Section 8.2) involving unauthorized access, reverse engineering, or actions that disrupt or endanger the Service or its infrastructure
  • JustFill is required to do so by law, regulation, or a court order

For other violations of Section 8 (including fair use policy violations under Section 8.3 and unsolicited communications), the fourteen (14) day cure period described above shall apply.

20.1A Suspension of Access

JustFill may immediately suspend access to the Service pending investigation of any suspected breach. Suspension may be imposed without prior notice where JustFill reasonably believes that: (a) immediate action is necessary to protect the Service, other Users, or JustFill; (b) the User's activity may be illegal or in violation of these Terms; or (c) continued access poses a security risk. During suspension, JustFill will investigate the matter and either reinstate access or proceed to termination. Billing continues during any suspension period unless JustFill, at its sole discretion, elects to issue a courtesy billing credit. Suspension does not relieve you of any payment obligations. If the investigation concludes that no breach of these Terms occurred, JustFill will retroactively credit your account for the full suspension period. For consumers in the EU/EEA, billing is automatically suspended for any suspension period exceeding 3 calendar days that is not ultimately resolved against the user. JustFill will resolve the suspension (reinstate or terminate) within a reasonable period, not exceeding 30 days. If suspension lasts more than 30 days without resolution, you may terminate and receive a pro-rata refund for the suspended period. The foregoing termination and refund right does not apply where the suspension was initiated due to your breach of these Terms, fraudulent activity, or illegal conduct.

20.2 Termination by JustFill Without Cause

JustFill may terminate your Account and access to the Service for commercially reasonable business reasons (including, without limitation, discontinuation of the Service, business restructuring, or regulatory requirements) by providing at least 30 days' written notice to the email address associated with your Account. In such cases, JustFill will provide a pro-rata refund of any prepaid Subscription fees for the unused portion of the current billing period.

20.3 Termination by User

You may terminate your Account at any time by canceling your Subscription (if applicable) and deleting your Account through your account settings. Account deletion is permanent and irreversible.

20.4 Effects of Termination

Upon termination of your Account:

  • Your right to access and use the Service will cease immediately
  • JustFill will delete your User Content, Calibrations, and other data associated with your Account within 30 calendar days of termination, subject to any legal retention obligations. You should export any data you wish to retain before termination using the data export feature in your account settings. Data retained for legal compliance purposes (e.g., billing records, tax documentation) will be stored in accordance with applicable retention periods under Polish law (5 years from the end of the financial year in which the transaction occurred, as required by Polish tax and accounting law (Ordynacja podatkowa Art. 86)) and subsequently deleted. Retained data will be limited to the minimum necessary for compliance purposes.
  • Any outstanding payment obligations will survive termination and remain due and payable
  • Provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 6.3 (AI Output and Calibration Ownership), 6.4 (User Representations), 7 (AI Disclaimer), 13 (Intellectual Property), 14 (Feedback), 17 (Disclaimer of Warranties), 18 (Limitation of Liability), 19 (Indemnification), 23 (Dispute Resolution), 24 (Governing Law), 25 (Severability), 26 (Entire Agreement), 29 (Limitation Period), 30 (Relationship of the Parties), 31 (Third-Party Beneficiaries), 32 (Export Control), and 33 (Beta and Preview Features)
  • All rights and obligations that have accrued prior to termination shall survive, including but not limited to JustFill's right to collect any unpaid fees, your indemnification obligations for pre-termination activity, and any claims that arose prior to the date of termination

21. Modification of Terms

JustFill reserves the right to modify, amend, or replace these Terms at any time at its sole discretion.

21.1 Notice of Changes

For material changes to these Terms, JustFill will provide at least 30 days' prior notice by email to the address associated with your Account. JustFill may additionally provide notice through a prominent notice on the Service or an in-app notification. The "Last Updated" date at the top of these Terms will be revised to reflect the effective date of the modified Terms.

For non-material changes, JustFill will provide notice by email or in-app notification within a reasonable time. All changes (material and non-material) will be notified by email.

21.2 Acceptance of Changes

For non-material changes, your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. For material changes that significantly affect your rights or obligations, JustFill will require your affirmative consent (e.g., by clicking "I Agree" or a similar mechanism) before the changes take effect. Material changes include changes to pricing, liability limitations, data processing practices, dispute resolution, or core Service functionality.

A change is considered "material" if it substantially alters the core functionality of the Service, significantly reduces the features or Credit allocations available under your current plan, or materially changes these Terms in a way that adversely affects your rights. Any increase in fees, regardless of the percentage, constitutes a material change and requires your affirmative consent (opt-in) before taking effect. Minor bug fixes, UI updates, feature enhancements, and operational changes are NOT considered material changes. Any reduction in the Credit allocation applicable to your current subscription tier constitutes a material change requiring affirmative consent under Section 9.4.

No modification to these Terms shall reduce the scope, features, or Credit allocations of the Service during a prepaid subscription period without a pro-rata refund for the affected portion of the period.

If you do not accept material changes, you may terminate your subscription and receive a proportional refund for any prepaid, unused period.

22. Force Majeure

JustFill shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by events beyond JustFill's reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, civil unrest, government actions or orders, embargoes, sanctions, labor disputes or strikes, fire, flood, earthquake, power outages, internet or telecommunications failures, cyberattacks, third-party service provider failures or outages (including but not limited to Google, Stripe, or cloud hosting providers), changes in applicable law, regulation, or regulatory interpretation affecting the Service, or any other event beyond JustFill's reasonable control ("Force Majeure Event"). For the avoidance of doubt, changes in the terms, availability, functionality, pricing, or quality of third-party AI services, models, or APIs are not Force Majeure Events; they are addressed under Section 15 (Third-Party Services).

In the event of a Force Majeure Event, JustFill's obligations shall be suspended for the duration of the event, and JustFill will make reasonable efforts to resume performance as soon as practicable. For clarity, your payment obligations shall continue during any Force Majeure Event, except that if the Force Majeure Event prevents you from accessing the Service for more than 7 consecutive days, JustFill will automatically apply a proportional credit for the affected period to your account. If a Force Majeure Event continues for more than 60 consecutive days, either party may terminate the affected Subscription by providing written notice to the other party.

During any Force Majeure Event exceeding 7 consecutive days that prevents you from materially using the Service, you may terminate your subscription and receive a pro-rata refund for the period of non-availability. Nothing in this section limits your rights under Directive (EU) 2019/770 regarding the conformity of the Service. If you are a consumer in the EU/EEA, you are not required to pay for periods during which the Service is materially unavailable due to a Force Majeure Event.

23. Dispute Resolution

23.1 Informal Resolution

Before initiating any formal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") informally by contacting us at hello@justfill.app. Both parties shall make good-faith efforts to resolve the Dispute within 30 days from the date notice of the Dispute is received.

23.2 Mediation

If the Dispute is not resolved through informal negotiation within 30 days, either party may propose mediation. Mediation shall be conducted by a mutually agreed mediator under the mediation rules of the Centre for Effective Dispute Resolution (CEDR) or another mutually agreed mediation institution. The cost of mediation shall be shared equally between the parties unless otherwise agreed.

23.3 Court Proceedings

If the Dispute cannot be resolved through negotiation or mediation, either party may bring proceedings before the competent courts in accordance with Section 24 (Governing Law and Jurisdiction).

23.4 Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from any court of competent jurisdiction to prevent irreparable harm pending the outcome of any dispute resolution process.

23.5 EU Online Dispute Resolution and Alternative Dispute Resolution

The EU Online Dispute Resolution (ODR) platform, previously available at https://ec.europa.eu/consumers/odr under Regulation (EU) No. 524/2013, was discontinued by the European Commission on 20 July 2025.

If you are a consumer in Poland, you may pursue alternative dispute resolution (ADR) through the Wojewódzki Inspektorat Inspekcji Handlowej w Warszawie (Provincial Inspectorate of Trade Inspection in Warsaw, "WIIH"), which is the competent ADR entity under national law for disputes involving JustFill. Information on ADR procedures is available at https://www.uokik.gov.pl. You may also contact the Municipal Consumer Ombudsman (Miejski Rzecznik Konsumentów) in your area for assistance.

Our email address for the purposes of consumer dispute resolution is hello@justfill.app. JustFill is not obligated to participate in ADR proceedings as a pre-condition to litigation. JustFill will participate in good faith if proceedings are initiated through a competent ADR entity.

24. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions.

Any Disputes arising out of or in connection with these Terms that are not resolved through the dispute resolution process described in Section 23 shall be submitted to the exclusive jurisdiction of the competent courts located in Warsaw, Poland.

Consumer protection: Nothing in this Section shall deprive you of the protection afforded by mandatory provisions of the law of the country in which you have your habitual residence, in accordance with Article 6(2) of Regulation (EC) No. 593/2008 (Rome I Regulation). If you are a consumer residing in the European Union, you may also bring proceedings in the courts of the Member State in which you are domiciled, in accordance with Regulation (EU) No. 1215/2012 (Brussels I bis Regulation).

25. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions of these Terms, which shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent as closely as possible. If such modification is not possible, the provision shall be deemed severed from these Terms.

The section headings in these Terms are for convenience only and shall not affect the interpretation or construction of these Terms.

The rights and remedies of JustFill under these Terms are cumulative and not exclusive of any rights or remedies provided by law.

26. Entire Agreement

These Terms, together with the Privacy Policy, the Data Processing Agreement (which applies to all Users who process personal data of third parties through the Service in a business context), and any other legal notices or supplemental terms published on the Service, constitute the entire agreement between you and JustFill concerning your use of the Service and supersede all prior or contemporaneous communications, proposals, representations, understandings, and agreements, whether written or oral, relating to the subject matter hereof.

In the event of a conflict between these Terms and any additional terms applicable to a specific feature or service, these Terms shall prevail unless the additional terms expressly state otherwise.

You acknowledge that in entering into this Agreement you have not relied on any statement, representation, warranty, understanding, undertaking, promise, or assurance of any person other than as expressly set out in these Terms. Nothing in this clause shall limit liability for fraud or fraudulent misrepresentation.

27. Waiver

The failure of JustFill to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of JustFill. A waiver of any right or provision on one occasion shall not be deemed a waiver of such right or provision on any subsequent occasion.

28. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms, whether by operation of law or otherwise, without the prior written consent of JustFill. Any attempted assignment without such consent shall be null and void.

JustFill may freely assign, transfer, or delegate its rights and obligations under these Terms without your prior consent, including but not limited to assignments in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. JustFill will notify you of any such assignment at least sixty (60) days in advance. If you are a consumer in the European Union and the assignment changes the identity of the contracting party, you may terminate your Account within 60 days of receiving such notice. In the event of termination due to assignment, you will receive a proportional refund for any prepaid, unused period. If you exercise your right to terminate following an assignment, your access to the Service will end on the date your termination takes effect, and any refund will be calculated from that date. For business users, assignment within a corporate group (affiliates, subsidiaries, parent companies) does not trigger any termination right or refund obligation under this Section.

29. Limitation Period

Important: Under Polish law (Art. 119 of the Polish Civil Code), statutory limitation periods cannot be contractually shortened or extended for any party, including business users. Where Polish law applies, the statutory limitation periods under the Polish Civil Code govern and take precedence over any contractual limitation period specified below.

Subject to the foregoing, and to the maximum extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or the Service must be filed within the shortest period permitted by applicable law (or, where applicable law does not permit contractual shortening of limitation periods, the statutory limitation period) after the cause of action accrues. For claims by business users (non-consumers), the limitation period shall be twelve (12) months from the date the cause of action arose, only to the extent permitted by the applicable law of the relevant jurisdiction. Under Polish law, statutory limitation periods cannot be modified by agreement (Art. 119 of the Polish Civil Code), and the statutory periods shall apply. This limitation period applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

Note for EU consumers: For consumers in the European Union, the limitation period shall not be shorter than the mandatory period under applicable national law. In particular, claims related to the conformity of digital content under Directive (EU) 2019/770 are subject to the limitation periods set by national law implementing that Directive, which may not be shortened by contract. Nothing in this section shall shorten the limitation period below the mandatory minimum prescribed by applicable national law for your type of claim.

Note for Polish consumers: Under Polish law, the statutory limitation period applies pursuant to Art. 119 of the Polish Civil Code, which prohibits the shortening of limitation periods by contract. For consumers habitually resident in Poland, statutory limitation periods under Polish law (including but not limited to the general six-year period under Art. 118 of the Polish Civil Code, and the two-year period for digital content conformity claims under applicable implementing legislation) apply and cannot be shortened by contract. This Section 29 shall not be interpreted as limiting any statutory limitation period available to you under Polish law.

30. Relationship of the Parties

Nothing in these Terms shall be construed to create any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and JustFill. Neither party has the authority to bind the other or to incur any obligation on the other's behalf. You and JustFill are independent contracting parties.

31. Third-Party Beneficiaries

These Terms are for the sole benefit of you and JustFill and do not confer any rights or remedies upon any third party. No third party shall be considered a third-party beneficiary of these Terms, and no third party shall have any right to enforce any provision of these Terms.

32. Export Control

The Service may be subject to export control laws and regulations of the European Union, the United States, and other jurisdictions. You agree that you will not use, export, re-export, or transfer the Service or any related technical data in violation of any applicable export control laws or regulations, including but not limited to EU Regulation (EU) 2021/821 (dual-use items), U.S. Export Administration Regulations, or trade sanctions administered by the EU or the U.S. Office of Foreign Assets Control (OFAC).

You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to EU or U.S. comprehensive trade sanctions, and that you are not on any restricted party list maintained by the EU, the United States, or other applicable jurisdiction.

33. Beta and Preview Features

JustFill may, from time to time, offer beta, preview, experimental, or early-access features ("Beta Features") that are not yet generally available. Beta Features are provided on an "as is" and "as available" basis, without any warranties of any kind, and may contain errors, bugs, or other defects.

By using Beta Features, you acknowledge and agree that:

  • Beta Features are optional and may be modified, suspended, or discontinued at any time without notice or liability
  • Beta Features may not perform at the same level as generally available features and may cause unexpected behavior
  • All disclaimers and limitations of liability in these Terms apply with full force to Beta Features. For business users (non-consumers), JustFill's aggregate liability for Beta Features is limited to the lesser of: (A) the amounts paid by you for the billing period in which the Beta Feature was used, or (B) fifty euros (EUR 50.00). For consumers, liability for Beta Features is limited to the maximum extent permitted by mandatory consumer protection law, including Directive (EU) 2019/770 on digital content and digital services; the EUR 50.00 cap does not apply to consumers
  • JustFill may collect additional usage data and feedback during the beta period to improve the features
  • Beta Features may be subject to additional terms or conditions notified at the time of opt-in

Beta Features are provided voluntarily and your use of them is entirely optional.

34. Notices

All notices, requests, and communications from JustFill to you may be delivered by one or more of the following methods:

  • Email: To the email address associated with your Account. Notices sent by email are deemed received three (3) business days after sending, unless a permanent delivery failure notification is received by JustFill.
  • In-app notification: Through the Service's user interface. In-app notices are deemed received when first displayed to you.
  • Website posting: Through a prominent notice on the JustFill.app website. Website notices are deemed received 7 days after posting.

All notices from you to JustFill must be sent to hello@justfill.app and are deemed received upon actual receipt by JustFill.

Material changes to these Terms (as defined in Section 21) and price changes (Section 9.4) shall always be notified by email and shall not rely solely on website posting.

You are responsible for keeping your email address current. JustFill shall not be liable for non-delivery of notices caused by an outdated or incorrect email address that you have failed to update. It is your responsibility to ensure that the email address associated with your Account is current and capable of receiving messages.

34A. Translation

These Terms are drafted in English. In the event of any inconsistency between the English version and any translated version, the English version shall prevail, except where the mandatory applicable law of your country of habitual residence requires that the local-language version governs. In such case, the local-language version shall prevail to the extent required by that mandatory law.
